01About these terms

faez.ai is operated by [Company legal name], trade licence [Trade licence number], registered at [Registered address] (we, us). These terms apply to everyone who uses our website and to every project we deliver.

Each project also has a written quote or proposal. If the quote and these terms disagree, the quote wins for that project. By accepting a quote in writing, including by email, or by paying the first invoice, you agree to these terms.

02Using our website

• You may browse, share links and contact us. Please do not copy our designs, text, film or code for commercial use without our permission.
• Do not try to break, overload or gain unauthorised access to the website.
• Website content is general information, not professional advice. Figures we cite link to their sources, and examples and the motion film are labelled as illustrative.
• Links to other websites are for convenience. We do not control those sites and are not responsible for their content.

03Quotes and scope

Every project starts with a fixed quote in AED, SAR or USD that lists the scope, deliverables, timeline, number of revision rounds and what is not included. A quote is valid for 30 days unless it says otherwise.

Prices exclude VAT and other taxes, which we add where the law requires.

If you want something outside the agreed scope, we tell you the cost and the effect on the timeline in writing before we do it. Nothing is added to your bill without your written approval.

04Payment and milestones

• Unless your quote sets another schedule, we invoice 50% to start, 30% when the design is approved and 20% before launch.
• Invoices are due within 14 days.
• Care plans and other monthly services are billed in advance each month and can be cancelled with 30 days' notice.
• If an invoice is more than 14 days overdue, we may pause work after written notice. The timeline moves by the length of the pause.
• Third party costs such as themes, plugins, apps, hosting and usage fees are paid by you directly or reimbursed at cost.
• The first payment covers planning and reserved team time and is not refundable once work has started, except as set out under Pausing or ending a project.

05Your content and approvals

You provide the text, images, logos, product data and access we need, and you confirm you have the right to use them. You are responsible for the accuracy of your content and for any licences, permits or regulatory approvals your business needs.

You see a live preview from the first week. We ask for feedback or approval within 5 business days at each milestone. Late content or feedback moves the timeline. It changes the price only if the delay causes extra work, which we raise with you first.

Launch always needs your written approval.

06Designs and revisions

For new websites we present three design directions. You choose one, and we refine it within the revision rounds stated in your quote.

A revision round is one combined set of changes within the agreed scope. New pages, new features or a change of direction after approval are handled as a change request, as described under Quotes and scope.

07Ownership and intellectual property

Everything we build for you is set up in your name: domain, hosting, store, analytics, WhatsApp Business and other accounts. You keep owner access at all times.

Once you have paid in full, you own the final deliverables we create for your project, including designs, copy we write, code written specifically for you and automation workflows. Until then, you have a licence to use them for the project.

We keep ownership of our general tools, code libraries, templates and know how that existed before your project or that we use across clients. You receive a permanent, free licence to use them as part of your deliverables.

We show your project in our portfolio only with your permission.

08Third party platforms, licences and hosting

Our work relies on platforms such as WordPress, Shopify, Webflow, Salla, Zid, hosting providers, payment gateways, WhatsApp Business and AI model providers. Your use of them is governed by their own terms, prices and policies, which can change.

We are not responsible for outages, price or policy changes, account suspensions or discontinued features of third party services, but we will help you respond to them. Themes, plugins, fonts and stock media are licensed in your name where possible.

Hosting is provided by your chosen provider under its own terms. We manage it for you only when a care plan includes it.

09Results, SEO and performance

We follow current good practice for search, speed and accessibility, and we report measured results honestly. We cannot guarantee search rankings, traffic, sales, conversion rates or advertising results, because they depend on search engines, competitors, markets and other factors outside our control.

Typical durations, benchmarks and cited statistics on our website are general information, not a promise for your project.

10AI automation

• Every AI agent we build tells people they are talking to an AI and offers a clear way to reach a person.
• AI output can be wrong or incomplete. We build agents with limits, testing and handover to a person, but you remain responsible for how the agent is used and for decisions made in your business.
• We do not set up agents to give medical, legal or financial advice as if from a qualified professional, and agents must not be relied on for emergencies.
• We use only real, permissioned reviews and testimonials. We do not build systems that create fake reviews or hide that content is automated.
• You are responsible for having the right to contact your customers, including WhatsApp opt in under Meta's policies, and for your own privacy notices. Where we process your customers' data, we do so under a data processing agreement.
• Usage fees from AI and messaging providers are passed on at cost unless your quote includes them.

11Launch, warranty and support

We do the work with reasonable skill and care. For 30 days after launch we fix defects in what we built at no extra cost.

This does not cover changes made by you or others, new features, third party updates that break compatibility, or hosting problems outside our control. Ongoing updates, monitoring and improvements are available through a care plan.

Apart from what these terms and your quote state, and to the extent the law allows, we give no other warranties.

12Confidentiality and data

We each keep the other's confidential information private and use it only for the project. This continues after the project ends. It does not apply to information that is public, already known to the receiving party or required to be disclosed by law.

We handle personal data as described in our Privacy Policy. When we process personal data for you, we act only on your instructions and sign a data processing agreement on request.

13Liability

To the extent the law allows, our total liability for any claim connected to a project is limited to the fees you paid us for that project in the 12 months before the claim. For care plans, it is limited to the fees paid in the previous 12 months.

Neither of us is liable for indirect or consequential loss, such as lost profit, loss of data that was not backed up or lost business opportunities.

Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct or anything else that the law does not allow to be limited.

Neither of us is responsible for delays caused by events beyond reasonable control, such as major provider outages, natural disasters or government action.

14Pausing or ending a project

Either of us can end a project with 14 days' written notice. You pay for work completed up to the end date, and we hand over all paid work along with full access to your accounts.

If we end a project for a reason that is not caused by you, we refund any amount paid for work not yet done.

Either of us can end a project immediately if the other seriously breaks these terms and does not put it right within 14 days of written notice.

If you pause a project for more than 60 days, we may close it and invoice the work completed. We can restart it later on a new timeline.

15Law, disputes and changes

These terms are governed by the laws of [Governing law jurisdiction: UAE or KSA]. If a disagreement arises, we will first try to resolve it in good faith within 30 days. If we cannot, the competent courts of [Governing law jurisdiction: UAE or KSA] will decide it, unless your quote names another forum.

These terms do not affect any rights you have under consumer protection laws that cannot be excluded.
